Terms and Conditions

2.1 "Platform" refers to ordmaker.fun, including all websites, applications, services, tools, and technologies owned, operated, or provided by ordmaker.fun, including but not limited to the ordinal generation service, marketplace, minting services, and any related platforms or subdomains.

2.2 "Content" means any data, text, graphics, images, music, software, audio, video, information, or other materials uploaded, posted, generated, created, transmitted, or otherwise made available through the Platform, including but not limited to ordinals, NFTs, digital assets, user-generated content, and Platform-generated content.

2.3 "User Content" refers to any content, including but not limited to text, images, graphics, data, information, or other materials that you upload, post, submit, transmit, or otherwise make available through the Platform.

2.4 "Ordinal" or "Ordinals" refers to digital assets, inscriptions, or non-fungible tokens (NFTs) created, generated, minted, or transacted through the Platform, including Bitcoin ordinals and other blockchain-based digital assets.

2.5 "Account" means the account you create to access and use the Platform, including all associated data, credentials, and information.

3.1 Final Authority: ordmaker.fun retains final authority, absolute discretion, and exclusive decision-making power over all materials, content, ordinals, digital assets, software, code, designs, graphics, text, images, audio, video, and any other intellectual property created, generated, hosted, displayed, or made available on or through the Platform. No user, purchaser, licensee, or third party shall have any true, enforceable, absolute, or exclusive rights to any material, content, or intellectual property on this Platform, except as explicitly granted in writing by ordmaker.fun.

3.2 No Transfer of Rights: The purchase, minting, acquisition, or receipt of any ordinal, NFT, digital asset, or content through this Platform does not confer any intellectual property rights, copyright, trademark rights, patent rights, ownership rights, exclusive rights, or any other proprietary rights to the underlying content, materials, source code, algorithms, or intellectual property. All such rights, title, and interest remain with ordmaker.fun or as otherwise determined by ordmaker.fun in its sole discretion. You receive only a limited, non-exclusive, non-transferable, revocable license to access and view the content as provided by the Platform.

3.3 Platform Discretion: ordmaker.fun reserves the absolute right, in its sole and absolute discretion, to modify, remove, delete, restrict access to, suspend, terminate, or otherwise manage any content, ordinals, materials, user accounts, or services on the Platform at any time, with or without notice, reason, or liability. This includes but is not limited to the right to remove content that violates these Terms, is illegal, infringes on rights of others, or is otherwise objectionable.

3.4 Ownership of Platform: All rights, title, and interest in and to the Platform, including all content, features, functionality, software, code, designs, trademarks, service marks, logos, and other intellectual property, are owned by ordmaker.fun, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.5 User Content License: By uploading, posting, submitting, or transmitting any User Content to the Platform, you grant ordmaker.fun a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit such User Content in any media formats and through any media channels, for any purpose, including commercial purposes, without compensation or attribution to you.

3.6 Prohibited Uses: You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform without prior written permission from ordmaker.fun, except as expressly permitted by these Terms or as necessary for your personal, non-commercial use of the Platform.

4.1 Third-Party Transactions: ordmaker.fun is not responsible for, and disclaims all liability, whether direct, indirect, incidental, special, consequential, or punitive, arising from or related to deceptive purchases, fraudulent transactions, misrepresentations, scams, phishing, identity theft, unauthorized access, or any other issues, disputes, or problems related to transactions made between users, with third parties, or outside of the Platform's direct control. This includes but is not limited to transactions conducted through external marketplaces, peer-to-peer exchanges, or any other channels not directly operated by ordmaker.fun.

4.2 User Responsibility: Users are solely and exclusively responsible for verifying the authenticity, legitimacy, accuracy, completeness, and terms of any purchase, sale, trade, exchange, or transaction. ordmaker.fun does not guarantee, warrant, verify, endorse, or assume responsibility for the accuracy, completeness, or reliability of any information, content, or representations provided by other users, third parties, or external services. Users must conduct their own due diligence before engaging in any transaction.

4.3 No Refunds for Third-Party Issues: ordmaker.fun will not provide refunds, compensation, remedies, or any form of reimbursement for losses, damages, or expenses arising from deceptive purchases, fraudulent transactions, disputes between users, issues with third parties, or any problems not directly caused by ordmaker.fun's gross negligence or willful misconduct. All transactions are final and non-refundable, except as required by applicable law or as explicitly stated in writing by ordmaker.fun.

4.4 Risk Acknowledgment: You acknowledge and agree that all transactions involving digital assets, cryptocurrencies, ordinals, and NFTs carry inherent risks, including but not limited to the risk of loss, theft, fraud, market volatility, technical failures, regulatory changes, and other risks. You assume all such risks and agree that ordmaker.fun shall not be liable for any losses or damages resulting from such risks.

4.5 No Endorsement: ordmaker.fun does not endorse, recommend, or provide investment, financial, legal, or tax advice. Any information provided on the Platform is for informational purposes only and should not be construed as professional advice. You should consult with qualified professionals before making any financial, legal, or tax decisions.

5.1 Service Availability: ordmaker.fun provides the Platform "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not guarantee that the Platform will be uninterrupted, error-free, secure, free from viruses or other harmful components, or that defects will be corrected. The Platform may be unavailable due to maintenance, updates, technical failures, or other reasons beyond our control.

5.2 Service Modifications: ordmaker.fun reserves the right, in its sole discretion, to modify, suspend, discontinue, or terminate any aspect of the Platform, including but not limited to features, services, content, functionality, or availability, at any time, with or without notice, without liability to users. We may also impose limits on certain features or restrict access to parts or all of the Platform without notice or liability.

5.3 No Guarantee of Results: ordmaker.fun does not guarantee any specific results, outcomes, or performance from the use of the Platform. The Platform is provided for informational and entertainment purposes, and any reliance on the Platform or its content is at your own risk.

5.4 Third-Party Services: The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by ordmaker.fun. ordmaker.fun has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ordmaker.fun shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

5.5 Beta Features: Some features of the Platform may be labeled as "beta" or "experimental." Such features are provided for testing purposes and may be unstable, incomplete, or subject to change. Use of beta features is at your own risk, and ordmaker.fun disclaims all liability related to beta features.

6.1 Account Creation: To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6.2 Account Security: You are solely responsible for maintaining the security of your account, including your password, wallet credentials, private keys, and any other authentication information. You must immediately notify ordmaker.fun of any unauthorized use of your account or any other breach of security. ordmaker.fun will not be liable for any loss or damage arising from your failure to comply with this section.

6.3 Account Termination: ordmaker.fun reserves the right to suspend, terminate, or delete your account at any time, with or without cause or notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or inactivity. Upon termination, your right to use the Platform will immediately cease, and ordmaker.fun may delete your account and all associated data.

6.4 Age Requirements: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

6.5 Prohibited Accounts: You may not create an account using false information, impersonate another person or entity, or create multiple accounts to circumvent Platform restrictions or policies.

Users agree not to, and will not permit others to:

• Use the Platform for any illegal, unauthorized, or prohibited purpose, or in violation of any applicable laws, regulations, or rules
• Violate any local, state, national, or international laws, regulations, or third-party rights, including intellectual property rights, privacy rights, or publicity rights
• Interfere with, disrupt, or attempt to interfere with or disrupt the Platform, servers, networks, or systems connected to the Platform, or violate the regulations, policies, or procedures of such networks
• Attempt to gain unauthorized access to any part of the Platform, other accounts, computer systems, or networks connected to the Platform, through hacking, password mining, or any other means
• Engage in deceptive, fraudulent, misleading, or dishonest practices, including but not limited to scams, phishing, or misrepresentation
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Upload, post, transmit, or otherwise make available any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
• Upload, post, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
• Upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or any other form of solicitation
• Use automated systems, including bots, scrapers, or spiders, to access, monitor, or copy any content from the Platform without prior written permission
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any software used in connection with the Platform
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Platform
• Collect or harvest any information about other users without their consent
• Use the Platform to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature

8.1 Payment Terms: All payments for services, ordinals, or other transactions on the Platform must be made in the form and currency specified by ordmaker.fun. Prices are subject to change at any time without notice. All fees, charges, and taxes are non-refundable unless otherwise required by applicable law or explicitly stated in writing by ordmaker.fun.

8.2 Cryptocurrency Transactions: Transactions involving cryptocurrencies, including Bitcoin, are irreversible. Once a transaction is confirmed on the blockchain, it cannot be reversed, cancelled, or refunded. You are solely responsible for ensuring the accuracy of transaction details, including recipient addresses and amounts. ordmaker.fun is not responsible for any losses resulting from incorrect transaction details, failed transactions, or network issues.

8.3 Transaction Fees: All transactions may be subject to network fees, processing fees, or other charges. These fees are non-refundable and are separate from any amounts paid for services or products. You are responsible for all fees associated with your transactions.

8.4 Refund Policy: All sales are final unless otherwise required by applicable law. ordmaker.fun does not provide refunds, returns, or exchanges except as required by applicable consumer protection laws or as explicitly stated in writing by ordmaker.fun. Refund requests, if applicable, must be submitted within the time period and in the manner specified by ordmaker.fun.

8.5 Chargebacks and Disputes: You agree not to initiate any chargebacks, payment reversals, or disputes for transactions made through the Platform, except in cases of actual fraud or unauthorized use. Initiating a chargeback or dispute without a valid reason may result in immediate account termination and legal action.

8.6 Price Changes: ordmaker.fun reserves the right to change prices for any services, products, or features at any time, with or without notice. Price changes will not affect transactions that have already been completed.

9.1 No Ownership Transfer: The purchase, minting, or acquisition of ordinals or other digital assets through the Platform does not transfer ownership of the underlying intellectual property, content, or materials. You receive only a limited license to access and view the digital asset as provided by the Platform, subject to these Terms.

9.2 Blockchain Risks: Digital assets exist on blockchain networks that are decentralized and not controlled by ordmaker.fun. You acknowledge and agree that blockchain networks may experience congestion, delays, forks, or other issues that may affect transactions or access to digital assets. ordmaker.fun is not responsible for any issues arising from blockchain network problems.

9.3 No Guarantee of Value: ordmaker.fun does not guarantee, warrant, or represent that any digital asset, ordinal, or NFT will have any particular value, retain its value, or increase in value. The value of digital assets is highly volatile and may decrease to zero. You should not purchase digital assets as an investment or with the expectation of profit.

9.4 Storage and Access: You are solely responsible for the security and storage of your digital assets, including private keys, wallet credentials, and any other information necessary to access your digital assets. ordmaker.fun is not responsible for any loss of digital assets due to lost private keys, compromised wallets, or other security issues.

9.5 Marketplace Transactions: Transactions conducted through the Platform's marketplace are between users, and ordmaker.fun acts only as a platform provider. ordmaker.fun is not a party to any transaction and is not responsible for the performance, delivery, or quality of items sold through the marketplace.

10.1 No Warranties: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORDMAKER.FUN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

10.2 Limitation of Damages: IN NO EVENT SHALL ORDMAKER.FUN, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ORDMAKER.FUN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Maximum Liability: ORDMAKER.FUN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO ORDMAKER.FUN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.

10.4 Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, ordmaker.fun's liability shall be limited to the maximum extent permitted by law.

10.5 Force Majeure: ordmaker.fun shall not be liable for any failure or delay in performance under these Terms resulting from acts beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or Internet failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

You agree to indemnify, defend, and hold harmless ordmaker.fun, its affiliates, subsidiaries, parent companies, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, losses, liabilities, damages, judgments, awards, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party, including intellectual property rights, privacy rights, or publicity rights; (d) your violation of any applicable laws, regulations, or rules; (e) any User Content you submit, post, transmit, or otherwise make available through the Platform; (f) your fraudulent, negligent, or willful misconduct; or (g) any dispute between you and any third party. This indemnification obligation will survive the termination of these Terms and your use of the Platform.

12.1 Privacy Policy: Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12.2 Data Collection: By using the Platform, you consent to the collection, use, storage, and processing of your information as described in our Privacy Policy. This includes but is not limited to personal information, usage data, transaction data, and technical information.

12.3 Data Security: While ordmaker.fun implements reasonable security measures to protect your information, no method of transmission over the Internet or electronic storage is completely secure. You acknowledge that ordmaker.fun cannot guarantee the absolute security of your information.

12.4 International Transfers: Your information may be transferred to and processed in countries other than your country of residence. By using the Platform, you consent to such transfers and processing.

ordmaker.fun reserves the right, in its sole discretion, to modify, amend, update, or change these Terms and Conditions at any time, with or without notice. Changes will be effective immediately upon posting on the Platform, unless otherwise stated. Your continued use of the Platform after any changes to these Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must immediately cease all use of the Platform. It is your responsibility to review these Terms periodically for any changes. The date of the last update is indicated at the top of these Terms.

14.1 Termination by You: You may terminate your account and stop using the Platform at any time by contacting ordmaker.fun or by deleting your account through the Platform's account settings, if such functionality is available.

14.2 Termination by ordmaker.fun: ordmaker.fun may, in its sole discretion, suspend, restrict, or terminate your access to the Platform, or delete your account, at any time, with or without cause or notice, for any reason, including but not limited to: (a) violation of these Terms; (b) fraudulent, illegal, or harmful activity; (c) inactivity; (d) requests by law enforcement or government agencies; (e) discontinuation or material modification of the Platform; or (f) technical or security issues.

14.3 Effect of Termination: Upon termination, your right to use the Platform will immediately cease, and ordmaker.fun may delete your account and all associated data, content, and information. All provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15.1 Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact ordmaker.fun to attempt to resolve any dispute informally. If ordmaker.fun is unable to resolve the dispute within sixty (60) days, either party may proceed with formal dispute resolution.

15.2 Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise required by applicable law. The arbitration shall be conducted by a single arbitrator, and judgment on the arbitration award may be entered in any court having jurisdiction.

15.3 Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.4 Jurisdiction: If arbitration is not permitted by applicable law, you agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts located in the jurisdiction specified in Section 16 (Governing Law).

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which ordmaker.fun operates, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts of competent jurisdiction in that jurisdiction, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The remainder of these Terms shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that comes closest to the intent of the original provision.

These Terms, together with the Privacy Policy and any other legal notices or agreements published by ordmaker.fun on the Platform, constitute the entire agreement between you and ordmaker.fun regarding the use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and ordmaker.fun relating to the subject matter hereof.

No waiver by ordmaker.fun of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ordmaker.fun to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign, transfer, or delegate these Terms or your rights or obligations hereunder without the prior written consent of ordmaker.fun. ordmaker.fun may assign, transfer, or delegate these Terms or its rights or obligations hereunder without your consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT ORDMAKER.FUN HAS FINAL AUTHORITY OVER ALL MATERIALS AND CONTENT ON THE PLATFORM, THAT YOU HAVE NO ENFORCEABLE RIGHTS TO ANY MATERIALS ON THE PLATFORM EXCEPT AS EXPLICITLY GRANTED IN WRITING BY ORDMAKER.FUN, AND THAT ORDMAKER.FUN IS NOT RESPONSIBLE FOR DECEPTIVE PURCHASES, FRAUDULENT TRANSACTIONS, OR DISPUTES BETWEEN USERS OR WITH THIRD PARTIES. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM.
